Satyam Computer Services Limited had informed the Exchange that on June 11, 2013 the Hon'ble High Court of Andhra Pradesh has approved the Scheme of Amalgamation and Arrangement of Venturbay Consultants Private Limited, Satyam Computer Services Limited, C&S System Technologies Private Limited, CanvasM Technologies Limited and Mahindra Logisoft Business Solutions Limited ("Transferor Companies") with the Company pursuant to provisions of Sections 391 to 394 read with Sections 78, 100 to 104 and other applicable provisions of the Companies Act, 1956 ("The Scheme").The appointed date of the Scheme is April 01, 2011. The Company has now informed the Exchange that on June 24, 2013, the Company has filed the certified copy of the order passed by the Hon'ble High Court of Judicature of Andhra Pradesh at Hyderabad approving the Scheme of Amalgamation and Arrangement with Registrar of Companies, Andhra Pradesh, Hyderabad .In view of the above, the Board of Directors rescinded their earlier decision to hold the Annual General Meeting (AGM) and the book closure period as announced.
