Ltd., which owns and operates the brand ' Rave Cinemas' at Kanpur and has six projects under implementation at prominent retail loactions in Noida, Uttar Pradesh and Punjab. The aforesaid transaction which, inter alia, involves demerger of certain businesses and obtaining of rights to operate properties is expected to take upto 6 months. The Board of Directors of Adlabs Films Limited (the 'Company') at its meeting held on Thursday, the 26th April, 2007, has in-principle approved the proposal for the amalgamation of its wholly owned subsidiary Katch 22 Entertainment Private Limited ('Transferor Company'), pursuant to a scheme of arrangement ("Scheme") under Sections 391-394 of the Companies Act, 1956. As the Company holds 100% of the Share Capital of the Transferor Company, there will be no issue of shares by the Company pursuant to the Scheme.
