Vide its letter dated April 08, 2010 that:"This is further to earlier announcements made by the Company with respect to the Scheme of arrangement for the Demerger of the news and non-news businesses of the Company. This is to inform you that the Demerger Committee of the Board of Directors of the Company at its meeting held today, has approved the withdrawal of the Petition filed before the Hon'ble High Court of Delhi seeking its approval to the Scheme of Arrangement for Demerger of news and non-news businesses of the Group. The aforesaid decision has been taken by the Committee in view of the recent initiatives taken by the NDTV group with respect to its non-news business, pursuant to which a substantial part of NDTV group's stake in the non-news entertainment entity NDTV Imagine Limited has been transferred to Turner Asia Pacific Ventures, Inc. Also, an Agreement has been entered into with Scripps Networks Interactive Inc. for the sale of majority stake in NDTV Lifestyle Limited. Further to the aforesaid transfers, the value of the non-news businesses of the group will not be as significant as earlier. Hence it was felt that the news and non-news holdings of the group could continue to be held in the existing entities, instead of getting demerged into separate entities. The Demerger process may, therefore, not be required. The Petition filed initially by the Company for the approval of the Scheme of Arrangement is listed before the Hon'ble Court later today and the decision of the Demerger Committee of the Board to withdraw the said Petition shall be communicated to the Hon'ble Court".
