  Composite Scheme of Arrangement and Amalgamation under section 391 to 394 of the Companies Act, 1956 between Morarjee Textiles Limited (MTL) , Five Star Mercantile Limited (FSML), and Morarjee Holdings Private Limited (MHPL) has been approved by the Hon'ble High Court of Judicature at Bombay vide Order dated June 29, 2012. The Scheme has become effective from July 17, 2012, the date of filling of Form 21 with the Registrar of Companies, Mumbai. In this regards, the Company has fixed the record date of August 14, 2012 for the following purposes: (1) Issuance and Allotment of shares to the Shareholders of MTL: "1 (One) fully paid up Equity share of Rs. 3/- (Three) each of FSML for every 1 (One) fully paid up Equity shares of Rs 10 (Ten) each of MTL. (2) Reduction of Share Capital of MTL: The face value and paid up value per Equity share shall be reduced from Rs. 10/- (Ten) to Rs, 7/- (Seven) and pursuant to the demerger, the shareholders of MTL will be issued Equity shares of Rs. 3/- (Three) each of FSML. Further, pursuant to Clause 10.1 of the Scheme of Arrangement and Amalgamation the name of FSML will be changed to Integra Garments and Textiles Limited. (opens in a new tab)
