"The Board of Directors of the Company vide its resolution dated 15.10.2007 has fixed 31.10.2007 as "Record Date" for the purpose of determining the entitlement of the shareholders of Mawana Sugars Limited (the Transferor Company), whose names appear in the Register of Members of the Company on the Record Date to receive 3 equity shares of Rs.10/- each i.e. Exchange Shares in Siel Limited, the Transferee Company for every 2 equity shares of Rs.10/- each fully paid up held in the Transferor Company as per the Scheme of Arrangement for Amalgamation of Mawana Sugars Limited with Siel Limited as approved by the Hon'ble High Court of Delhi vide its order dated 11.09.2007". Further, the Company has submitted to the Exchange a copy of the Rationale for the Scheme.
