At the board meeting of the Board of Directors of the Company held on February 24, 2011, it was decided to consider outside the agenda the issue of bonus shares. After due deliberation it was decided to declare by way of bonus shares in the ratio of one new equity share for one equity share held on a date to be fixed by the Board of Directors. This declaration is subject to the following: (1) Permission of the Stock Exchanges under clause 24 of the Listing Agreement. (2) Approval of members at the annual general meeting to be held on April 07, 2011. (3) The 17403922 new equity shares of Rs. 10 each fully paid, as and when issued and allotted shall be subject to the Memorandum and Articles of Association of the Company, shall rank in all respects pari passu with the then existing equity shares of the Company and shall be entitled to dividend, if any, declared in respect of the financial year in which the new equity shares are allotted - year 2011.
