Vide its letter dated January 15, 2008, that: "The Hon'ble High Court of Karnataka at Bangalore has approved the Scheme of Amalgamation of Exatt Technologies Pvt. Ltd. (Exatt) with the Company ('the Scheme') vide Order dated December 20, 2007. A certified copy of the order was received by the Company on January 10, 2008. Earlier the Hon'ble High Court of Judicature at Bombay has also approved the Scheme vide order dated November 23, 2007, a certified copy of which was received on January 8, 2008. Further the certified order copies received from both the Hon'ble High Court have been filed electronically with the respective Registrar of Companies on January 15, 2008. With this, the Scheme has become effective from January 15, 2008 & accordingly Exatt Technologies Pvt. Ltd. has been amalgamated with the Company. The Board of Director of the Company through the circular resolution passed today have decided to sell of its shareholding in the subsidiary company Spacecom Broadband Networks Limited (Spacecom). Consequent to this, Spacecom, which was earlier a subsidiary of Exatt and as a result of aforesaid amalgamation had become the subsidiary of the Company, will cease to be the subsidiary".

Board of Directors of the Company through circular resolution passed on December 01, 2007, have approved the following:- 1) To make preferential issue of 20,00,000 warrants to specified Investors (Non-promoters), carrying an entitlement to apply for the equivalent number of equity shares of Rs.10/- each at a price of Rs.576/- (including premium of Rs.566/- per share), in accordance with chapter XIII of SEBI (Disclosure & Investor Protection) Guidelines, 2000. 2) Alteration of the Articles of Association of the Company. 3) Subject to the requisite approval to Change the name of the Company from "IOL BROADBAND LTD" to "IOL NETCOM LTD".

IOL Boradband Ltd. announces that it has signed a VOIP services providers agreement with MTNL last week. MTNL has taken a bold step in introducing VOIP services in keeping with the Global trend of Telcos to enhance their ARPU's. This agreement will allow IOL to interconnect with millions of MTNL subscribers with local/STD/International calls at very low rates. IOL spokesperson said that in the first year, the company is planning a capacity of 100 million minutes going upto 1 billion minutes in two years time and expecting huge increase in VOIP and Broadband connections in the near future. The company announces availability of videophones to all its Broadband subscribers along with VOIP phone and teleconferencing services. With this agreement IOL Broadband ltd. is now able to offer bundled voice-video-data-triple play services in addition to IPTV Services26 Nov · Business
