(ii) The Register of Members and Share Transfer Books of the Company, for the purpose of AGM, will remain close from June 19, 2007 to June 22, 2007 (both days inclusive). (iii) Guaranty by the Company to Merrill Lynch Mortgage Capital, Inc. in support of $125 Million Debt Facility for its subsidiary HOV Services, LLC in an amount equal to the lesser of (a) 400% of the total net worth as of March 31, 2007, the last audited balance sheet of the Guarantor or (b) $ 37,500,000.
