He held numerous positions with Citibank/ Citigroup serving in Singapore (2011-2013), Hong Kong (2009-2011), London (2003-2009), Poland (1997-2003) and London (1993-1997). This is to inform you that pursuant to the Transaction Process Letter and the subsequent stock exchange notifications related thereto made by the Company, the Company received two Binding Bids from the TPG-Manipal Consortium and IHH Healthcare Berhad. The Board of Directors at its meeting held today, deliberated on both the binding offers made by IHH Healthcare Berhad and the TPG/ Manipal consortium and received inputs from the financial advisors viz. Standard Chartered Bank and Arpwood Capital and legal advisors- Luthra and Luthra Law Offices and Cyril Amarchand Mangaldas.The Board, after having detailed deliberations on each offer, approved the offer of IHH Healthcare Berhad for an equity infusion of Rs. 4,000 Crores at a price of Rs. 170 per equity share into the Company by Northern TK Venture Pte Ltd, Singapore, a wholly owned subsidiary of IHH Healthcare Berhad, Malaysia through a preferential allotment ( Preferential Issue), subject to approval of the shareholders. Further, pursuant to the preferential issue, Northern TK Venture Pte. The Board, post having the detailed discussions on the pros and cons of each offer, decided by majority, to recommend the offer of Hero Enterprise Investment Office-Burman Family Office (i.e. the last offer made on May 1, 2018) for an upfront equity infusion of Rs. 800 Crore at a price of Rs. 167/share or SEBI (Issue of Capital and Disclosure Requirements) ( SEBI ICDR) Pricing Guidelines, whichever is higher, into the Company through preferential allotment and a further amount of INR 1000 crores through preferential issue of warrants (of which Rs. 250 Crore will be upfront being an amount equivalent to 25% of the consideration of warrants) at a price of Rs. 176/share or SEBI ICDR Pricing Guidelines, whichever is higher, to the shareholders for approval. Further, the Board, subject to the approval of the shareholders and necessary regulatory approvals, as may be required as per applicable law, inter-alia, approved the following:(a) Appointment of Ms. Sabina Vaisoha (DIN: 00207306) and Mr. Rohit Bhasin (DIN: 00940392) as Independent Directors of the Company for a period of five years w.e.f. March 27, 2018 and April 19, 2018, respectively;(b) Offer and issue sufficient number of equity shares on preferential basis to the investors as mentioned in Annexure A at a price of 167/ share aggregating to Rs. 800 crores and further INR 1000 crore through preferential issue of warrants, in pursuance of decision noted hereinabove subject to compliance of necessary SEBI norms; and(c) Re-classification of existing Authorised Share Capital of the Company and consequently amendment of Clause V of Memorandum of Association of the Company.The detailed disclosures as required under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 is attached herewith as Annexure A.A copy of the Press Release issued in this regard is attached herewith.
