Pursuant to a Special Resolution passed by the members of the Company at their meeting held on September 30, 2010, the Board of Directors of the Company in their meeting held on October 27, 2010 inter alia authorized the QIP Committee of the Board of Directors to issue equity shares of face value of Rs. 10 each up to Rs. 50 crores by way of Qualified Institutional Placement under Chapter VIII of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2009. The Board also approved the issue of fully paid up equity shares up to Rs.50 crores by way of Qualified Institutional Placement subject to a minimum price of Rs.20.26 per equity share in compliance with Chapter VIII of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2009 and has decided to open the Issue on October 29, 2010.
