Board of Directors of the Company at its meeting held on November 12, 2010 have approved: (1) The Scheme of Amalgamation ('the Scheme') for merger of company's wholly owned subsidiary Netlink Technologies Limited with itself under the provisions of sections 391 to 394 of the Companies Act, 1956. The Appointed date of the amalgamation is April 1, 2010 and is subject to the sanction of Hon'ble High Court of Andhra Pradesh, Hyderabad. Board of Directors of the Company at its meeting held on November 12, 2010 have approved: (1) The proposal for buy back of equity shares of Rs.2/- each of the fully paid up equity share capital of the company through stock market mechanism, at a price not exceeding Rs.180/-per equity share for an aggregate amount not exceeding Rs.270 crores from equity shareholders other than the Promoters and persons in control of the company subject to approval of shareholders through postal ballot, SEBI and other regulatory approvals.
