      The Company has decided to invest in two Joint Ventures as per details given below : (1) The Company has formed a Joint Venture Company, viz. "Asian Retail Lighting Ltd." for lighting solutions for retail industry with Home Solution Retail India Ltd. (HSRIL) (part of the Future Group), as joint promoters. Core competence of the promoters in their respective fields and pooling of their resources is excepted to provide greater synergy to the Joint Venture towards higher growth in the Retail Sector. (2) The Company has formed another Joint Venture Company, viz, "Home Lighting India Ltd." for Home Lighting Solutions with Home Solution Retail India Ltd. (HSRIL) (part of the Future Group) and Idiom Design and Consulting Ltd. (Idiom), as joint promoters. Core competence of the promoters in their respective fields and pooling of their resources is expected to provide greater synergy to the Joint Venture towards higher growth in the Home Lighting Segment through the proposed presence in retail malls & High Street Locations.

      Asian Electronics Ltd had informed the Exchange that at the meeting held on June 29, 2005, the scheme of arrangement between Asian Raymold Lighting Pvt. Ltd. and Asian Electronics Ltd. relating to the takeover of its lighting division undertaking has been approved subject to necessary sanction of the High Court. The company has now informed the Exchange that: "The Scheme of Arrangement between Asian Raymold Lighting Pvt. Ltd. and Asian Electronics Ltd. relating to the takeover of its Lighting Division undertaking has been approved by both, High Court of judicature at Bombay and High Court of judicature at Madras. The Order dated 28th July, 2006 passed by the Honourable High Court of judicature at Bombay has been filed with Registrar of Companies, Maharashtra on 18th October, 2006 and the Order passed by the Honourable High Court of judicature at Madras dated 25th January, 2007 has been filed with Registrar of Companies, Chennai on 16th February, 2007 and the said Order has been filed by us with the Registrar of Companies, Maharashtra on 21st February, 2007. Accordingly, the Scheme becomes effective from 22nd February, 2007. As per the Scheme of Arrangement as approved by both the Courts, the appointed date is 1st April, 2005".

The Exchange, in order to verify the accuracy or otherwise of the information reported in the media and to inform the market place so that the interest of the investors is safeguarded, had written to the officials of the company. Asian Electronics Ltd has vide its letter inter-alia stated, "In this connection, we have to inform you that we have not released any such information about 'buy back of the Shares by month end' in any of the newspapers".
