Exchange had sought clarification from AMD Industries Limited with respect to announcement dated February 10, 2015 regarding "The Board of Directors of the Company at their meeting held on February 10, 2015, have approved to sell off, in part or whole, of the investment, held by the Company in equity share of its subsidiary, AMD Estates & Developers Private Limited (AEDPL) to any of its associated entities/ person". In this regard the Company has clarified that "The Board has yet not decided on the name of the associated person/ entities to whom the investments would be sold and thus has not executed any agreement or arrived at the consideration value. It may be noted that, the valuation of AMD Estates & Developers Private Limited, has been already done by the Independent Chartered Accountant, which has been considered and approved by the Audit Committee and the Board of Directors in their respective Meetings. The proposed transaction of sell off of Investments falls under the related party transaction and it is ensured that all the necessary regulatory compliances as may be applicable either under the Companies Act, 2013 and or the Listing Agreement shall be complied with.
